Terms of service

The terms that apply when a merchant installs or uses OrderQuorum.

1. Agreement and provider

These terms are between the Shopify merchant using OrderQuorum (“Merchant”) and Guangzhou Zhengjian Information Technology Co., Ltd., Room 2001, Panlong Xinjie, Haizhu District, Guangzhou, Guangdong 51000, China (“Provider”). Installing or using OrderQuorum means the Merchant accepts these terms.

2. The service

OrderQuorum provides buyer-side B2B cart approval, purchase order validation, company role controls, and audit reporting for eligible Shopify stores. Shopify services, merchant themes, network providers, and third-party systems remain outside our control.

3. Eligibility and accounts

The Merchant must have authority to bind its business, maintain an eligible Shopify store, protect administrator access, configure lawful approval rules, and ensure assigned buyers and approvers are authorized. The Merchant is responsible for activity under its store installation.

4. Fees, trial, and cancellation

OrderQuorum costs $29 USD monthly or $290 USD annually after a 14-day free trial, unless a different price is displayed and accepted in Shopify. Charges, renewals, cancellations, and applicable taxes are administered through Shopify. The Merchant can cancel through Shopify; access continues only as Shopify’s billing terms allow. Except where law or Shopify requires otherwise, paid fees are not refundable.

5. Acceptable use

The Merchant must not misuse the service, attempt unauthorized access, interfere with security, upload malware, evade plan limits, use OrderQuorum for unlawful discrimination or surveillance, or submit information it lacks authority to process. The Merchant must not copy, resell, reverse engineer, or create a derivative of the service except where applicable law expressly permits it.

6. Merchant data and privacy

The Merchant retains rights in its data and instructs us to process it to provide the service. The Merchant is responsible for notices, consents, access decisions, and lawful retention settings for its company users. Our handling of personal information is described in the OrderQuorum privacy policy.

7. Intellectual property

We and our licensors retain rights in OrderQuorum, its code, branding, design, documentation, and improvements. The Merchant receives a limited, revocable, non-transferable right to use the service for its internal business during an active installation.

8. Availability and changes

We aim to operate a reliable service but do not promise uninterrupted availability. We may make changes needed for security, Shopify platform updates, legal compliance, or product improvement. Material reductions to paid functionality will receive reasonable notice where practical.

9. Disclaimer

To the maximum extent allowed by law, the service is provided “as is” and “as available.” OrderQuorum is a workflow aid, not accounting, legal, tax, credit, or procurement advice. Merchants remain responsible for reviewing approvals, orders, payment terms, fraud, and compliance.

10. Limitation of liability

To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, goodwill, or data. Our aggregate liability relating to the service will not exceed the fees paid for OrderQuorum in the six months before the event giving rise to the claim. This limit does not apply where it is prohibited by law.

11. Suspension and termination

We may suspend access to address security threats, unlawful use, nonpayment, or material breach. Either party may terminate by uninstalling or discontinuing the service. Terms that by nature should survive—including payment, intellectual property, disclaimers, liability, and lawful data retention—will survive.

12. Governing terms and contact

These terms are governed by the laws applicable at the Provider’s registered place of business, without regard to conflict-of-law rules, except where mandatory consumer or local law provides otherwise. Before filing a claim, the parties will try in good faith for 30 days to resolve it by contacting cartquilt@gmail.com.

13. Changes

We may update these terms and will publish the effective date. Continued use after an effective update constitutes acceptance where permitted by law. If the Merchant does not agree, it must stop using and uninstall OrderQuorum.
